Terms of Use

Eligibility and your account

You must be at least 18 years old to create an account or use BuyIt Exchange.

You must also have the legal capacity to enter into an agreement, provide accurate account information and keep it current, and use only your own account. Do not create an account for someone else or allow another person to use your account.

What BuyIt Exchange is

BuyIt Exchange is an introduction and contact-release service. Buyers post buying requests describing what they need, sellers submit offers for items they represent as available, and after both parties commit and the seller pays the Match Fee, contact information is released so the parties can arrange the transaction directly.

Buying requests

Buyers post buying requests describing the item they want. Open buying requests are visible to anyone, including visitors who are not signed in. Buyers are responsible for the accuracy of what they post.

A buying request may publicly display the buyer's city and state. Your ZIP code and any internally derived geographic information used for matching are not publicly displayed.

Seller offers

Sellers submit offers for items they represent as available, including a price, a shipping cost, and one or more photos of the actual item. An offer and its photos are visible only to the seller who submitted it and the buyer who posted the buying request.

Private items and matching

BuyIt Exchange allows sellers to save items they might be willing to sell through the "My Items to Sell" feature.

Items saved in My Items to Sell are not public marketplace listings. Other members cannot browse your private saved-item inventory. BuyIt Exchange may process information about those items to identify Buying Requests that appear to be potential matches.

If we identify a possible match, we may notify the seller and provide a way to review the Buying Request and decide whether to respond. A match or notification does not mean that the buyer has agreed to purchase the item, that the item will ultimately qualify for a transaction, or that BuyIt Exchange guarantees the accuracy or completeness of the match.

Matching is intended to help connect potential buyers and sellers, but it may not identify every possible match and may sometimes identify a request or item that is not ultimately suitable.

Sellers are responsible for keeping information about their saved items reasonably accurate and for marking, pausing, or otherwise updating items that are no longer available or that they no longer wish to sell.

If a seller responds to a Buying Request through a private inventory match, the resulting offer, commitment, Match Fee, contact-release, and direct-transaction rules are governed by these Terms in the same way as other eligible BuyIt Exchange transactions, except where the service expressly shows a different workflow.

Private Q&A and messages

BuyIt Exchange provides private Q&A or messaging tools that allow a buyer and seller involved in an offer or potential transaction to ask questions and clarify details before contact information is released.

These messages are intended for discussing the item and the potential transaction. They are not public and are generally visible only to the participants in that offer or transaction, subject to BuyIt Exchange's ability to access, retain, review, or disclose messages when reasonably necessary to operate the service, provide support, investigate suspected fraud or abuse, enforce these Terms, protect users, or comply with applicable law or valid legal requests.

Do not use BuyIt Exchange messages to:

• send or request contact information before the service permits contact release;
• attempt to move a transaction off the platform for the purpose of avoiding the Match Fee or other BuyIt Exchange rules;
• send fraudulent, misleading, threatening, harassing, discriminatory, obscene, unlawful, or abusive content;
• solicit payment or personal information through deceptive means;
• impersonate another person or misrepresent your identity, item, or intentions; or
• send spam, advertising, or unrelated solicitations.

BuyIt Exchange may limit the number, frequency, timing, or availability of messages and may restrict or remove messaging access when reasonably necessary for safety, abuse prevention, product operation, or enforcement of these Terms.

Messages may be stored as part of the transaction record and retained as described in our Privacy Policy, including where reasonably necessary for support, security, fraud prevention, dispute handling, recordkeeping, or legal compliance.

Limited negotiation

Negotiation is limited. A seller submits an offer, the buyer may send one counter, and the seller may send one final counter. Once terms are agreed they are locked and can no longer be edited or withdrawn.

Buyer and seller commitment

After terms are agreed, the buyer may commit to buy. The seller then has a limited period, shown in the app, to commit to sell or decline. A buyer may cancel before the seller commits, and a seller may decline; either action ends the deal.

Seller Match Fee

The seller pays a Match Fee equal to 3% of the agreed item price, with a minimum of $2.99 and a maximum of $29.99. Shipping is not included in the fee calculation.

The Match Fee is charged for the buyer-seller match, introduction, and contact release. It is not payment for the item and does not guarantee completion of the sale.

The fee becomes due only after both parties commit. It is calculated by BuyIt Exchange and displayed to the seller before payment, and it is collected through Stripe Checkout.

Match Fee refund policy

Once payment is confirmed and contact information is released, the Match Fee is generally nonrefundable. BuyIt Exchange may issue a refund for a duplicate or erroneous charge, a technical failure where payment was received but contact information was not released, or where required by applicable law.

Contact-information release

You must save a contact email address, phone number, and preferred contact method before committing. Those details remain private and are never released early: they are released to the other party only after both parties reach the required commitment point and the seller's Match Fee payment is confirmed. At that point, each party can view the other party's saved contact details for that deal.

After contact information is released, the buyer and seller communicate and complete the transaction directly with one another. BuyIt Exchange does not process payment for the item itself.

Disputes between buyers and sellers

BuyIt Exchange is not a party to the purchase, sale, payment, delivery, pickup, shipping, title transfer, or other transaction that takes place between users.

If a dispute arises between a buyer and seller, the parties are responsible for working directly with one another to resolve it. This may include disputes involving an item's description, condition, authenticity, ownership, price, payment, delivery, shipping, damage, title, registration, taxes, refunds, or failure to complete a transaction.

To the fullest extent permitted by applicable law, you release BuyIt Exchange, LLC and its owners, members, managers, officers, employees, contractors, and agents from claims, demands, and damages arising from or related to disputes between users or the underlying transaction between them.

BuyIt Exchange may, but is not required to, provide information, records, account restrictions, moderation, or other reasonable assistance in response to a dispute, safety concern, suspected fraud, legal request, or violation of these Terms. Providing such assistance does not make BuyIt Exchange a party to the transaction or responsible for resolving the dispute.

No guarantees about users, items, or transactions

BuyIt Exchange helps buyers and sellers find one another, communicate, and decide whether they want to enter into a transaction. We are not the buyer or seller and do not take possession of the items exchanged between users.

BuyIt Exchange does not inspect, authenticate, appraise, possess, store, ship, deliver, or guarantee items offered through the service. We do not guarantee a user's identity, legal ownership of an item, the accuracy of a description or photo, an item's condition, quality, safety, authenticity, legality, availability, or fitness for a particular purpose.

We also do not guarantee that a buyer or seller will complete a transaction, make payment, deliver an item, provide accurate information, or otherwise perform as agreed.

Buyers and sellers are responsible for evaluating one another, inspecting or verifying items when appropriate, choosing safe payment and delivery methods, and deciding whether to proceed with a transaction.

To the fullest extent permitted by applicable law, BuyIt Exchange is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.

Limitation of liability

To the fullest extent permitted by applicable law, BuyIt Exchange, LLC and its owners, members, managers, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, goodwill, or anticipated savings, arising out of or related to your use of BuyIt Exchange or a transaction between users.

This includes losses arising from an item's condition, authenticity, safety, legality, ownership, payment, nonpayment, delivery, nondelivery, damage, loss, theft, personal injury, property damage, fraud, misrepresentation, disputes between users, or a user's failure to complete or perform a transaction.

To the fullest extent permitted by applicable law, the total liability of BuyIt Exchange, LLC and the persons listed above for all claims arising out of or related to the service will not exceed the greater of:

• $100; or
• the total fees you paid directly to BuyIt Exchange during the 12 months immediately preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory of the claim and even if BuyIt Exchange has been advised that a loss or damage was possible.

Your responsibility for claims caused by your conduct

If your use of BuyIt Exchange, your content, your item, your transaction, or your violation of these Terms or applicable law causes a claim, demand, lawsuit, investigation, loss, liability, damage, judgment, settlement, fine, penalty, or reasonable legal expense involving BuyIt Exchange, you agree to defend, indemnify, and hold harmless BuyIt Exchange, LLC and its owners, members, managers, officers, employees, contractors, and agents to the extent the claim results from your conduct.

This includes claims arising from:

• an item you request, offer, buy, or sell;
• your ownership or right to sell an item;
• stolen, counterfeit, illegal, unsafe, defective, or unlawfully transferred property;
• your descriptions, photos, messages, reviews, or other content;
• infringement of another person's intellectual property, privacy, publicity, or other rights;
• payment, delivery, pickup, shipping, title transfer, or other aspects of a transaction between users;
• personal injury or property damage arising from your transaction or conduct;
• fraud, misrepresentation, or unlawful activity by you; or
• your breach of these Terms.

BuyIt Exchange will provide reasonable notice of a covered claim when practical and may participate in the defense or settlement of the claim. You may not agree to a settlement that imposes an obligation, admission of wrongdoing, or liability on BuyIt Exchange without our written consent.

This section does not require you to indemnify BuyIt Exchange for a claim to the extent the claim results from BuyIt Exchange's own conduct where applicable law does not permit that responsibility to be shifted to you.

Taxes

Buyers and sellers are responsible for determining and satisfying any sales, use, title, registration, transfer, income, or other taxes or governmental charges that may apply to their transaction.

BuyIt Exchange does not calculate, collect, or remit taxes on the purchase price of items exchanged between users unless required by applicable law. The parties are responsible for understanding and complying with the tax and reporting requirements that apply to them.

Reviews and ratings

Only the buyer and the seller associated with an eligible matched transaction may review one another, and the match must have reached the verified fee-paid state. Each participant may submit only one review for that transaction.

Reviews use a one-to-five-star rating. A rating of one, two, or three stars requires a meaningful comment of at least 25 non-whitespace characters. Comments are limited to 1,000 characters. A member cannot edit a review after submitting it.

When a review becomes public

Reviews are published blind. The first submitted review remains nonpublic while the other participant still has time to review. Both reviews become public when both participants have reviewed. If only one participant reviews, that review becomes public seven days after it was submitted.

A member may be told that the other participant has submitted a review, but is not shown the other participant's rating or comment before publication.

How published reviews are displayed

A published review is associated with a verified transaction. It displays the reviewer's display name and identifies whether the reviewer participated as the buyer or the seller, and it may display the rating, the comment, and the publication date.

Published reviews contribute to the reviewed member's public rating summary on their public member profile. An average rating is not displayed until that member has at least three published reviews.

Your responsibility for review content

You are responsible for the truthfulness and legality of everything you submit in a review.

Do not submit review content that is knowingly false or fraudulent; threatening, harassing, abusive, or obscene; discriminatory or hateful; unlawful; unrelated to the transaction; spam or advertising; intended to manipulate ratings; an attempt to pressure someone into changing or matching a rating; or an off-platform solicitation.

Do not include private or sensitive information in a review, including addresses, telephone numbers, email addresses, payment information, account credentials, or another person's personal information.

Review moderation

BuyIt Exchange may investigate, hide, restrict, or retain reviews when reasonably necessary to enforce these rules, protect users, address abuse, comply with legal obligations, or preserve marketplace integrity.

A hidden review remains stored for moderation, recordkeeping, security, dispute, and legal purposes. Hidden reviews are excluded from public review lists, review counts, and rating averages.

BuyIt Exchange is not required to remove a truthful negative review merely because a member disagrees with it or dislikes it.

Reviews express the opinion of the submitting member. They are not endorsements, guarantees, inspections, or factual certifications by BuyIt Exchange, and BuyIt Exchange does not guarantee the accuracy of user-submitted reviews.

You may report a review you believe violates these rules by emailing support@buyitexchange.com. Reports are reviewed case by case; reporting a review does not mean it will be removed. Where practical, BuyIt Exchange may provide a reasonable opportunity to appeal a moderation decision.

Your responsibilities

You are responsible for evaluating the item and the other party, and for payment arrangements, pickup or shipping, compliance with applicable law, and your personal safety.

Please read our safety guidelines before arranging a transaction.

Your content

You keep ownership of the content you submit to BuyIt Exchange. This may include Buying Requests, offer details, item descriptions, photographs, messages, reviews, profile information, reports, and other content you provide through the service.

You are responsible for the content you submit. You must have the legal right to submit and use that content, and your content must not violate these Terms, applicable law, or another person's intellectual property, privacy, publicity, or other rights.

By submitting content to BuyIt Exchange, you give BuyIt Exchange, LLC a non-exclusive, royalty-free license to host, store, reproduce, format, resize, process, display, transmit, and otherwise use that content only as reasonably necessary to:

• operate and provide the BuyIt Exchange service;
• display content to the people who are authorized to see it;
• match Buying Requests with potential sellers;
• deliver offers, messages, reviews, and transaction information;
• maintain, secure, troubleshoot, and improve the service;
• investigate reports, suspected fraud, safety concerns, or violations of these Terms;
• moderate, restrict, or remove content when permitted by these Terms; and
• comply with applicable law and valid legal requests.

This license allows BuyIt Exchange to use service providers that help us operate the service, such as hosting, database, file-storage, email, and other technology providers, but only for purposes consistent with operating BuyIt Exchange.

Private or participant-only content does not become public merely because you grant this license. Its visibility continues to be governed by the service's privacy and transaction rules and our Privacy Policy.

This license continues for as long as reasonably necessary to operate the service and to retain records where permitted or required for security, fraud prevention, dispute handling, legal compliance, or other legitimate business purposes.

BuyIt Exchange does not claim ownership of your content, and this license does not give us the right to use your name, photograph, item images, review, or transaction story in unrelated advertising or promotional materials without additional permission where required.

Items you may offer

You may offer only items that you own or are legally authorized to sell. You are responsible for making sure that your item, your offer, and the eventual transaction comply with all applicable federal, state, and local laws.

Do not use BuyIt Exchange to offer, request, buy, or sell:

• stolen property or items you do not have the legal right to sell;
• counterfeit goods or items that infringe another person's intellectual property rights;
• illegal drugs, controlled substances, or unlawfully sold prescription products;
• items that are illegal to possess, buy, sell, ship, or transfer;
• recalled products or items that cannot lawfully be resold;
• firearms, ammunition, weapons, or other regulated items unless BuyIt Exchange expressly permits them under a separate written policy; or
• any item or transaction that would violate applicable law or BuyIt Exchange policies.

If a transaction involves a vehicle, recreational vehicle, trailer, or other titled or registered property, the buyer and seller are solely responsible for confirming ownership, title status, liens, registration requirements, taxes, required disclosures, and lawful transfer of ownership.

Acceptable use

Use BuyIt Exchange honestly and lawfully. Do not misrepresent an item or your identity, do not attempt to gain access to information about other users that the service has not released to you, and do not interfere with the operation or security of the service.

Account restrictions and termination

BuyIt Exchange may restrict, suspend, or terminate an account, remove or limit content, or restrict access to some or all of the service when we reasonably believe it is necessary to:

• enforce these Terms or other BuyIt Exchange policies;
• address suspected fraud, scams, stolen property, counterfeit goods, illegal activity, or unsafe conduct;
• protect buyers, sellers, BuyIt Exchange, or the public;
• respond to a legal requirement, court order, law-enforcement request, or other valid governmental request;
• address repeated complaints, abusive behavior, harassment, manipulation of reviews, or misuse of the marketplace;
• prevent attempts to evade account restrictions, Match Fee requirements, or other marketplace rules; or
• protect the security, integrity, or operation of the service.

Depending on the circumstances, BuyIt Exchange may take action with or without advance notice. We may also investigate suspected violations and preserve or review relevant account and transaction records as permitted by our Privacy Policy and applicable law.

You may stop using BuyIt Exchange at any time. Account closure or termination does not eliminate obligations that arose before the account was closed, including unpaid fees, transaction responsibilities, legal obligations, or provisions of these Terms that by their nature should continue to apply.

Governing law and legal disputes with BuyIt Exchange

These Terms and any dispute between you and BuyIt Exchange arising out of or relating to these Terms or the BuyIt Exchange service will be governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Subject to any rights or remedies that cannot lawfully be limited, any legal proceeding between you and BuyIt Exchange that is not required to be brought in another forum by applicable law will be brought in an appropriate state or federal court located in Georgia.

You and BuyIt Exchange consent to the personal jurisdiction of those courts for such disputes.

This section applies to disputes involving BuyIt Exchange. Disputes solely between a buyer and seller regarding their direct transaction remain governed by the responsibilities and laws applicable to those parties and their transaction.

General terms

These Terms, together with the Privacy Policy and any other BuyIt Exchange policies that are expressly incorporated into these Terms, make up the agreement between you and BuyIt Exchange regarding your use of the service.

These Terms apply to the fullest extent permitted by law. Nothing in them is intended to limit rights or responsibilities that applicable law does not allow to be limited.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be limited or adjusted to the minimum extent necessary where permitted by law. If it cannot be preserved, it will be severed, and the remaining provisions will continue in effect.

If BuyIt Exchange does not immediately enforce a provision of these Terms or exercise a right, that does not mean we waive that provision or right.

You may not assign or transfer your rights or obligations under these Terms without our written consent. BuyIt Exchange may assign or transfer these Terms in connection with a merger, reorganization, sale of the business or substantially all of its assets, change of control, or other lawful transfer of the BuyIt Exchange service.

Any provisions that by their nature should continue after your account is closed or your use of BuyIt Exchange ends will remain in effect. This includes, as applicable, obligations involving unpaid fees, transaction responsibilities, content rights needed for retained records, taxes, disputes, disclaimers, limitation of liability, indemnification, and governing law.

Section headings are provided for convenience and do not change the meaning of these Terms.

Changes to these Terms

We may update these Terms from time to time as BuyIt Exchange changes, our practices evolve, or legal requirements change.

When we update these Terms, we will revise the Effective Date shown at the top of the Terms.

If a change materially affects your rights or responsibilities, we may provide additional notice through BuyIt Exchange, by email, or by another reasonable method when appropriate.

Your continued use of BuyIt Exchange after updated Terms become effective means that the updated Terms apply to your use of the service, except where applicable law requires additional notice, consent, or other action.

For a material change that requires renewed agreement under applicable law, we may require you to review and accept the updated Terms before continuing to use some or all of BuyIt Exchange.
